Hi marck,
This update will let a system running Windows 7 do an in-place upgrade to Windows 8 without glitches. This update is a list of files that will "manifest" your system. This manifest would would be queried by the update installer to select what files the installer should use to allow an in-place upgrade to Windows 8 that would not conflict with the current files in your Windows 7 system.
Bottom line: This update for Win 7 systems is only needed IF you plan to do an in-place upgrade to Windows 8.
I personally would never do an in-place upgrade. If and when I want to go to Windows 8, I would do a clean install....so I hid this update offer.

Yep. Did the same as Dana. Too bad that everyone does not examine Microsoft updates/patches/fixes as you obviously do as there are often some offered that are really not needed depending your configuration or future plans. This is why I almost always counsel people to turn off Automatic Updates--or at least the automatic install provision.
I also generally wait a week or so before installing new updates to see if any problems start being reported as the result of a particular update which, as I am sure you know, happens frequently.
